This Volunteer Service Agreement (“Agreement”) is made between anyone who have filled out and submitted the volunteer registration form on the PICLEDEST official website www.piclehdest.org and PICLEHDEST and its representation (“PICLEHDEST”), a non-government, non-profit organization located in Lagos, Nigeria. NOW, THEREFORE, In consideration of the mutual terms made by the parties hereto, PICLEHDEST and the Volunteer (individually, each a “Party” and collectively, “Both Parties”) agree as follows:
CONSIDERATION
“Both Parties” hereby acknowledge and agree that the Volunteer shall derive substantial benefits from the Volunteer’s performance of the Volunteer Services, including, but not limited to, (i) administrative and support training in a professional environment, (ii) work experience reference (iii) complimentary attendance at PICLEHDEST events, and/or (iv) Issuing Certificate of Recommendation.”
TERMS OF REFERENCE
- Volunteer acknowledges that he/she is a volunteer and, as such, services rendered are donated. That there are no entitlements or expectation of any present or future salary, wages, or other benefits for these voluntary services.
- Volunteer agrees to comply with PICLEHDEST policies and procedures as they are communicated to him/her, including without limitation the Code of Conduct guidelines and procedures set forth in this Agreement.
- Volunteer agrees to provide ten (10) days prior written notice of intention to cease volunteering for PICLEHDEST. Upon termination of this Agreement, Volunteer agrees to provide reasonable assistance to transition any credentials, institutional knowledge, or documents to PICLEHDEST or to such other volunteer as PICLEHDEST may designate.
CONFIDENTIAL INFORMATION
NON-DISCLOSURE
Both Parties hereby agree that during the term hereof and at all times thereafter, and except as specifically permitted herein or in a separate writing signed by the Volunteer shall not use, commercialize or disclose Confidential Information to any person or entity.
Upon termination, or at any time upon the request of the Disclosing Party, the Receiving Party shall return to the Disclosing Party all Confidential Information, including all notes, data, reference materials, sketches, drawings, memorandums, documentations and records which in any way incorporate Confidential Information.
INTELLECTUAL PROPERTY RIGHTS
- Volunteer will not use any third party Pre‐Existing Intellectual Property in connection with this service unless Volunteer has the right to use it for PICLEHDEST benefit. If Volunteer is not the owner of such Pre‐Existing Intellectual Property, Volunteer will obtain from the owner any rights as are necessary to enable Volunteer to comply with this Agreement.
- Volunteer grants PICLEHDEST a non‐exclusive, royalty‐free, worldwide, perpetual and irrevocable license in Volunteer and third party Pre‐Existing Intellectual Property, to the extent such Pre‐Existing Intellectual Property is incorporated into any Deliverable, with the license including the right to make, have made, sell, use, reproduce, modify, adapt, display, distribute, make other versions of and disclose the property and to sublicense others to do these things.
- Subject to Volunteer and third party rights in Pre‐Existing Intellectual Property, all Deliverables, whether complete or in progress, and all Intellectual Property Rights related thereto shall belong to PICLEHDEST, and Volunteer hereby assigns such rights to PICLEHDEST. Volunteer agrees that PICLEHDEST will own all patents, inventor’s certificates, utility models or other rights, copyrights or trade secrets covering the Deliverables and will have full rights to use the Deliverables without claim on the part of Volunteer for additional compensation and without challenge, opposition or interference by Volunteer.
- Volunteer will sign any necessary documents and will otherwise assist PICLEHDEST in securing, maintaining and defending copyrights or other rights to protect the Deliverables in any country.
